Terms & Conditions of Business

These terms and conditions form an integral part of the Subscription Agreement made between you ("the Subscriber") and e-Learning UK whose principal place of business is 25 Wesley Court, Swindon, SN4 8JZ

The Subscription Agreement together with these terms and conditions and the documents referred to herein constitute the whole of the agreement between e-Learning and the Subscriber ("this Agreement").

Introduction

e-Learning UK is the promoter of a 12 month computer training package that provides internet access to approximately 800 business and educational courses. The Purchase Price is £250.00 for Standard Student membership and £280 for Affiliated membership.

e-Learning UK has offered to pay a commission ("Commission") to individuals or companies ("Persons") who effect sales of the Product to a third party on behalf of e-Learning.

The Subscriber wishes to receive the Commission offered by e-Learning UK subject to these terms and conditions.

Process

The Subscriber shall complete accurately the Subscription Agreement and purchase the Product for £250.00 / £280 ("Purchase Price"). The Purchase Price shall be paid by credit card transaction through the website www.e-learningUk.net . The Subscriber will not be required to pay any further sums over and above the Purchase Price.

 

Following receipt of the Subscription Agreement and Purchase Price, e-Learning UK will provide the Subscriber with a  username and password. The username and password will enable the Subscriber to gain access to the Product for their own use and to demonstrate the Product's features to third parties.

The Subscriber shall be entitled to market the Product to third parties at its discretion and shall receive the Commission in respect of sales made on behalf of e-Learning in accordance with the provisions of the Compensation Plan.

Commissions shall be calculated at the end of every month and paid to the Subscriber two or three days later.

 

Subscriber's Obligations

The Subscriber undertakes and warrants that:

  1. He/she is over 18 years of age and eligible to work in the country in which he operates his business.

2. He/she shall act in the capacity of an independent contractor and shall not contract on behalf e-learning UK or purport to do so nor shall he incur any liability on behalf of e-Learning. The Subscriber shall not imply that he is a director, officer, agent, employee, owner or partner of e-Learning.

3. He/she shall operate his business in a lawful, ethical and moral manner and so as not to affect e-Learning UK or its other Subscribers adversely.

4. He/she shall be responsible for payment of its own National Insurance Contributions, Income Tax, Value Added Tax, expenses and all other financial obligations.

  1. He/she shall comply with the provisions of e-Learning's Code of Conduct, Anti-Spam Policy and other marketing policies that may be advised in writing to the Subscriber from time to time.
  2. He/she shall not make any claims, representations, statements or warranties regarding or relating to the e-Learning's computer training courses or its method of operation other than those contained in the e-Learning's official literature.

7. He/she has full right and authority to enter into and perform this Agreement and to market the Product and shall comply with the provision of all statutes, taxation laws, statutory regulations and bylaws in force from time to time in the country in which he operates.

  1. Performance of this Agreement will not constitute a breach of any agreement that he/she may have with any third party.

9. He/she will indemnify e-Learning for any loss or damage occasioned by reason of the Subscriber's breach of this Agreement

Advertising and Promotion

The Subscriber recognises that within the United Kingdom advertising and promotional material should comply with Fair Trading Act 1973 as amended. The Subscriber shall ensure that any promotions instigated by it shall focus on the value of the Product rather than the mere recruitment of other Persons.

The Subscriber shall ensure that advertisements in newspapers, magazines, directories, radio and television are legal, decent, honest and truthful. Advertisements in handbills, brochures, audio and video tapes and similar promotional material must state:

  • the name and address
  • the Product
  • the following warning:

"It is illegal for a promoter or participant in a trading scheme to persuade anyone to make a payment by promising benefits from getting other people to join a trading scheme.

Do not be misled by claims that high earnings can be easily achieved. "

Restrictions

For the duration of this Agreement and for 3 months following its termination, the Subscriber agrees not to introduce into other competing programmes, the contacts that it makes promoting the Product.

 

General

At no time shall ownership of the Product pass to the Subscriber. The Subscriber receives a license to access the Product but no rights whatsoever to the Intellectual Property of the Product.
